1. Acceptance of Terms
By accessing or using MixFolio ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. We reserve the right to update these terms at any time, and your continued use constitutes acceptance of any changes.
2. Description of Service
MixFolio is a platform for DJs, producers, and music professionals to create electronic press kits (EPKs), track demo submissions, manage project boards, create social media clips, and analyze engagement with their content.
3. Account Registration
To use certain features, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your password and account
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
You must be at least 13 years old to create an account. If you are under 18, you must have parental consent.
4. Subscription Plans & Payments
Free Plan
The Free plan provides limited access to features as described on our pricing page. We reserve the right to modify free tier offerings at any time.
Paid Plans (Pro & Pro+)
Paid subscriptions are billed in advance on a monthly or yearly basis. Prices are subject to change with 30 days notice. All fees are non-refundable except as required by law or as explicitly stated in these terms.
Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.
5. Content Ownership & Licensing
Your Content
You retain all ownership rights to content you upload ("User Content"). By uploading content, you grant MixFolio a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute your content solely for the purpose of operating and providing the Service.
Content Responsibility
You represent that you have the necessary rights to upload and share all content, including any music, images, and videos. You are solely responsible for ensuring your content does not infringe on third-party rights.
Our Content
All MixFolio branding, design, code, and documentation remain our exclusive property. You may not copy, modify, or distribute our intellectual property without permission.
6. Acceptable Use
You agree not to:
- Upload content that infringes copyrights, trademarks, or other rights
- Upload illegal, harmful, threatening, or offensive content
- Use the Service for spam, phishing, or malicious purposes
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service or servers
- Circumvent usage limits or restrictions on your plan
- Resell or redistribute the Service without authorization
- Use automated tools to scrape or harvest data
7. Demo Submissions & Analytics
When you send demos through MixFolio, recipients receive a link to access your content. We track engagement (opens, plays, downloads) to provide you with analytics. By using this feature, you acknowledge that engagement data is collected and shared with you.
8. Termination
We may suspend or terminate your account if you violate these terms, engage in fraudulent activity, or for any other reason at our discretion. Upon termination or account deletion, your access to the Service will end. MixFolio does not automatically delete user-uploaded content due to subscription changes. If you delete your account, we will remove your personal data within a reasonable period, except where retention is required for legal, security, or legitimate business purposes.
Provisions that should survive termination will remain in effect.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE ARE NOT RESPONSIBLE FOR THE ACTIONS OF THIRD PARTIES WHO ACCESS YOUR CONTENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIXFOLIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.
11. Indemnification
You agree to indemnify and hold MixFolio harmless from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these terms.
12. Governing Law
These terms are governed by the laws of the jurisdiction in which MixFolio operates, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.
13. Changes to Terms
We may modify these terms at any time. We will notify you of material changes via email or through the Service. Your continued use after changes take effect constitutes acceptance of the new terms.
